DISCLAIMER: Participant Agreement for Intellectual Property and Confidentiality

By registering to participate in the BioIncubate Forge Track offered by Student Biolab (“Biolab”) and Lonza ("Sponsor"), you, the Participant, hereby acknowledge and agree to the following terms and conditions regarding intellectual property and confidentiality:

1. Definitions: 

“Grand prize winning team” is the sponsored team admitted into the Build Phase of the Forge Track which wins the CHF 30,000 grand prize at the conclusion of BioIncubate

“Runner-up sponsored team” is the sponsored team admitted into the Build Phase of the Forge track which wins the CHF 10,000 runner-up prize at the conclusion of BioIncubate. 

“Ideation phase” describes the application period of BioIncubate between September and the Selection Event

“Build phase” describes the period after the Selection Event when the two sponsored teams are admitted into the Forge Track and develop their proposal, concluding with the Final Pitch Event where the grand prize winning team and runner-up team are decided

2. Confidentiality of Information:

2.1 You agree to treat all information provided by Biolab and Sponsor, meaning information not earlier publicly disclosed by Biolab or Sponsor, as Confidential. This includes any information disclosed to you by Biolab or the Sponsor on or after the date of your registration. Confidential Information may encompass trade secrets, proprietary knowledge, and other sensitive data belonging to Biolab or Sponsor. The obligations of confidentiality and non-disclosure shall remain in full force and effect until December 31th,  2024 except for trade secrets.

 

3. Respect for Third-Party Agreements:

3.1 You are responsible for upholding any pre-existing contractual obligations related to non-disclosure of confidential information, trade secrets, and proprietary knowledge from your past or present employers, internships, or other engagements.

4. Non-Concurrency and Non-Competing Clause:

4.1 You agree to adhere to any non-concurrency or non-competing clauses that may apply to your current or future employment or business activities. This commitment is crucial to prevent conflicts of interest.

5. Intellectual Property Ownership:

5.1 All rights, interests, and titles to any Intellectual Property (IP) resulting from the grand prize winning sponsored team within the BioIncubate Forge Track remain the exclusive property of the Sponsor. Intellectual Property registration remains at Sponsor’s discretion and shall name, accordingly, grand prize winning sponsored team as inventors.

5.2 All rights, interests, and titles to any Intellectual Property (IP) resulting from the runner-up sponsored team within the BioIncubate Forge Track remain the exclusive property of the sponsored team. In the case where the runner-up sponsored team wishes to commercially develop their idea, they shall notify the Sponsor during a period of 12 months starting from the Final Pitch Event date to enter into good faith negotiations to exercise mutually agreed terms. The Sponsor has the first right of refusal during this 12 month period, meaning they may enter into good-faith negotiations with the sponsored team to exercise mutually agreeable terms.

5.3 The sponsor does not own any IP created by any of the teams in the Ideation phase,  excluding IP which is developed during Ideation phase by the grand prize winning team.

 

6. Research Use Rights

6.1 The Sponsored Teams and Student Biolab shall be granted a non-exclusive, fully paid, non-transferable, non-sublicensable right for research purpose of the Sponsor Intellectual Property including prototype(s), concept, data and any arising IP thereof from the BioIncubate teams that worked on the Sponsor’s Challenge.

6.2 Sponsor shall be granted a non-exclusive, fully paid, non-transferable, non-sublicensable license for research purpose of the Sponsored Teams (excluding Winning Team) Intellectual Property including prototype(s), concept, data and any arising IP thereof from the BioIncubate teams that worked on the Sponsor’s Challenge.

 

7. Advancement to Next Levels

7.1 For participants who reach a certain level within the BioIncubate Forge Track as determined by the Sponsor, a separate non-disclosure and confidentiality agreement will be required to proceed to the next level. This agreement will outline additional terms to protect the Sponsors' confidential information and intellectual property.

8. Review & Questions

8.1 Please carefully review and consider these terms before registering for the BioIncubate Forge Track. Your agreement to these terms is essential to ensure a fair and ethical participation. 9. Acceptance of Terms & Conditions

By clicking the "Agree" button during registration & application, you confirm that you have read, understood, and agreed to be bound by the terms of this disclaimer. Failure to adhere to these terms may result in consequences, including but not limited to disqualification from the BioIncubate Forge Track.
